VAPIANO SE: German Federal Financial Supervisory Authority (BaFin) approves Initial Public Offering (IPO) prospectus

Bonn, 14 June 2017 - The German Federal Financial Supervisory Authority (BaFin) today approved the securities prospectus of Vapiano SE ("Vapiano" or "the Company") relating to the Company's Initial Public Offering ("IPO" or "Offering") , and notified the approval to the Commission de Surveillance du Secteur Financier (CSSF). The prospectus has been published on the company's website at www.vapiano.com. The shares in Vapiano will be offered from Friday, 16 June 2017, until presumably 26 June 2017. Commencement of trading in the Vapiano shares (ISIN DE000A0WMNK9 / WKN A0WMNK) is expected on 27 June 2017 on the regulated market of the Frankfurt Stock Exchange (Prime Standard).

As stated in the prospectus, the Offering will comprise a primary offering up to 4,047,620 new shares and a secondary component of up to 33,533,123 existing shares, as well as up to 758,074 additional shares for the purpose of covering potential over-allotments. The price range for offered shares has been set between EUR 21 and EUR 27 per share.

Barclays Bank PLC, Joh. Berenberg, Gossler & Co. KG, and Jefferies International Limited are acting as Joint Global Coordinators and jointly with UniCredit Bank AG as Joint Bookrunners. Lazard & Co. GmbH is acting as financial advisor to Vapiano.
